DECISION

ON THE ISSUANCE OF THE REGULATION ON THE PREPARATION AND SUBMISSION OF REPORTS ON FOREIGN BORROWINGS AND REPAYMENT

THE GOVERNOR OF THE STATE BANK

Pursuant to the Ordinance on Accounting and Statistics dated 10 May 1988.
Pursuant to the Law on the State Bank of Vietnam and the Law on Credit Institutions dated 12 December 1997.
Pursuant to Decree 15-CP dated 2 March 1993 of the Government on assignment, authority and responsibility of ministries and ministerial-level agencies and Government agencies.
Upon the proposal of the Director of the Economic Research Department,

DECIDES:

Article 1. To issue in conjunction with this Decision the Regulations on preparation and submission of reports on foreign borrowings and repayments.

Article 2. The Informatics Centre shall be responsible for coding reporting items, developing software and providing technical guidelines in respect of the reporting items as provided for in Article 3.

Article 3. This Decision shall be effective from 1 October, 1998. The statistical reporting items in forms numbered E01, E02, E03, E06, E07, E17, E18, E19 and B10A issued in conjunction with Decision No. 404-1997-QD-NHNN1 dated 6 December 1997; Forms No. 1, 2 and 3 issued in conjunction with Decision 207-QD-NH7 dated 1 July 1997 and Form No. 4 issued in conjunction with the official letter 931-1997-CV-NHNN7 dated 17 November 1997 of the Governor of the State Bank shall be repealed and replaced by the statistical reporting items in Forms No. E20, E21, E22 and E23 issued in conjunction with this Decision.

Article 4. The Head of the Governor Office; the Director of the Economic Research Department; Heads of Departments in the State Bank, Head-office; General Managers of State Bank branches of provinces and cities under central authority; Chairmen, Directors General (Directors) of credit institutions and enterprises shall be responsible for the implementation of this Decision.

REGULATION

ON PREPARATION AND SUBMISSION OF REPORTS ON FOREIGN BORROWINGS AND REPAYMENTS
(Issued in conjunction with Decision 318/1998/QD-NHNN1 dated 24 September 1998 of the Governor of the State Bank)

I. ISSUANCE OF NEW REPORTING ITEMS:

1. Form No. E20 "Consolidated report on the performance of guarantees for foreign borrowings", codes E20110102 to E2024xx13.

2. Form No. E21 "Detailed report on the performance of guarantees for long-term and medium-term foreign borrowings". Written reports to be submitted.

3. Form No. E22 "Consolidated report on the performance of foreign borrowings", codes E22010101 to E22020208.

4. Form E23 No. "Detailed report on the performance of long-term and medium-term foreign borrowings without guarantees by commercial banks". written reports to be submitted.

II. EXPLANATION OF CONTENTS OF REPORTING FORMS:

FORM No. E20 "CONSOLIDATED REPORT ON THE PERFORMANCE OF GUARANTEES FOR FOREIGN BORROWINGS"

-  Reporting entities and contents of the report: commercial banks shall prepare a report on guarantees for enterprises (other than commercial banks).

-  Reporting period: monthly reports.

Column 1: The commercial bank should clearly state forms of guarantees in the case of Item 4 "Guarantees in other forms" (the section for short-term, medium-term or long-term ), for example: the bank provides the guarantee by signing drafts, and other forms of guarantees (if any).

Column 2 (Total opening balance): The amount accepted as a debt withdrawn which is still outstanding pending repayment to foreign lenders at the beginning of the reporting period.

Column 3 (Opening balance of overdue debts): Due debts not yet repaid to foreign lenders at the beginning of the reporting period.

Column 4 (Opening balance of amounts paid by the bank as the Guarantor: payments made by a bank in lieu of enterprises but not yet repaid by the enterprises to the bank at the beginning of the reporting period.

Column 5 (Amount committed under a Guarantee): the additional commitments under Guarantees issued by the bank in the reporting period, in particular:

-  In the case of deferred letters of credit: the value of additional deferred letters of credit opened in the accounting period.

-  In the case of letters of guarantee: the amounts guaranteed by the bank under letters of guarantee.

-  In the case of bonds: the value of bonds issued by the bank for the purpose of acceptance as a debt.

Column 6 (Funds drawn down): the amount accepted as a debt or drawn down in the accounting period, in particular:

-  In the case of deferred letters of credit: the amount of drafts accepted as a debt.

-  In the case of letters of guarantee: the actual amount drawn down made by borrowing enterprises.

-  In the case of bonds: the value of bonds issued by the bank for the purpose of acceptance as a debt.

Column 7 (Total amount of payment): the total amount of payments made to foreign lenders in the reporting period.

Column 8 (Payment made by the bank as a Guarantor): additional payments made by the bank in lieu of enterprises to foreign lenders in the reporting period. Therefore, the amount stated in column 8 (reflecting only the increased payments made by the bank in lieu of enterprises without setting off against the decreased payments made by the bank in lieu of enterprises) shall be all or part of the amount stated in column 7.

Column 9 (Increased overdue debts): the increase of overdue debts payable to foreign lenders in the reporting period (only the increased overdue debts without setting off against the decreased overdue debts).

Columns 10, 11 and 12: similar to columns 2, 3 and 4, the specific calculation shall be as follows:

Column 10 = column 2 + column 6 – (payment of principal: part of column 7).

Column 11 = column 3 + column 9 – (the decreased overdue debts).

Column 12 = column 4 + column 8 – (the decreased payments made by the bank in lieu of enterprises).

Column 13 (Payment obligation to foreign lenders in the following period): payments to be made to foreign lenders in the following reporting period (in respect of amounts accepted as debt or drawn down). This column shall not include the balance of overdue debts stated in column 11.

FORM No. E21 “DETAILED REPORT ON THE PERFORMANCE OF GUARANTEES FOR LONG TERM AND MEDIUM TERM FOREIGN BORROWINGS”

-  Reporting entities: commercial banks.

-  Reporting period: quarterly reports.

Column 1:

-  Loan code is the code of each loan notified by the State Bank to an enterprise and the guaranteeing bank. The commercial bank shall report exactly the loan codes notified by the State Bank.

-  Tranche shall only apply to loans consisting of many sub-loans with different schedules of disbursement or repayment, currencies, interest rates... . Loans are divided into tranches such as: a General Credit agreement under which individual loan contract (considered as tranche) can be carried out or some other foreign loan agreements. In this case, the guaranteeing bank must report the details of each particular transaction under such tranches.

-  Transaction currency: the currency used in each disbursement or payment (of principal, interest or fees) to foreign lenders in the reporting quarter covered by the report shall be stated. For this item, date of transaction shall be recorded in column 5 and the transaction amounts shall be recorded in columns 6, 7, 8, 9.

In addition, the commercial bank must clearly state the form of guarantee in item 4 "Guarantees in other forms" (Part IV), for example: the bank signs drafts for guarantee and other forms of guarantee (if any).

Column 2 (Opening balance): the amount accepted as a debt or drawn down which is still outstanding or pending payment to foreign lenders at the beginning of the reporting period.

Column 3 (Opening balance of overdue debts): the due debts not yet repaid to foreign lenders at the beginning of the reporting period.

Column 4 (Opening balance of repayments made by the bank as a guarantor): payments made by the bank in lieu of enterprises not yet repaid by enterprises to the bank at the beginning of the reporting period.

Column 5 (Date of transaction): the date at which a Fund drawn down or repayment of principal, payment of interest or fees is made in the reporting period. Date of transaction arising in columns 6, 7, 8 and 9 shall be recorded in this column.

Column 6 (Funds drawn down): the amount accepted as a debt or funds drawn down in the period, in particular:

-  In the case of deferred letters of credit: the amount stated in drafts accepted as a debt.

-  In the case of a letter of guarantee: actual amount drawn down by borrowing enterprises.

-  In the case of bonds: the value of bonds issued by the bank for the purpose of acceptance as a debt.

Columns 7, 8 and 9: repayment of principal, payment of interest or fees respectively made to foreign lenders in the reporting period.

Column 10 (Payments made by the bank as a guarantor): payments made by the bank in lieu of enterprises to foreign lenders in the reporting period. Therefore, the amount stated in column 9 is a part (or the entire) of the total amounts stated in columns 7, 8 and 9.

Column 11 (Increased overdue debts): the increased overdue debts to foreign lenders in the reporting period (only the increased overdue debts without setting off against the decreased overdue debts).

Columns 12, 13 and 14: similar to column 2, 3 or 4 respectively, the particular calculation is as follows:

Column 12 = column 2 + column 6 – column 7.

Column 13 = column 3 + column 11 – (the decreased overdue debts).

Column 14 = column 4 + column 10 – (the decreased payments made by the bank in lieu of enterprises).

FORM No. E22 “CONSOLIDATED REPORT ON THE PERFORMANCE OF FOREIGN BORROWINGS”

-  Reporting entities: commercial banks.

-  Reporting period: monthly reports.

With respect to Part I (Form E22): foreign borrowings by the bank

A commercial bank shall report to the State Bank on the medium and short-term borrowings (regardless of whether they are guaranteed by banks or not). Forms of foreign borrowings by commercial banks shall include direct borrowings under a credit contract, borrowings through the overdraft facility, general credit agreement....

Column 2 (Opening balance): Funds drawn down but not yet repaid to foreign lenders at the beginning of the reporting period.

Column 3 (Opening balance of overdue debts): the due debts not yet repaid by the bank to foreign lenders at the beginning of the reporting period.

Column 4 (Funds drawn down): the amount drawn down by the bank in the reporting period.

Column 5 (Payment to foreign lenders): payments (of principal, interest and fees) made by the bank to foreign lenders in the reporting period.

Column 6 (Increased overdue debts): the additional overdue debts to foreign lenders arising in the reporting period (only the increased overdue debts without setting off against the decreased overdue debts).

Columns 7 and 8: similar to columns 2 and 3, the specific calculation is as follows:

Column 7 = column 2 + column 4 - (the repayment of principal: a part of the amount stated in column 5)

Column 8 = column 3 + column 6 - (the decreased overdue debts).

Column 9 (Payment obligation to be made to foreign lenders in the following period): payments to be made by the bank to foreign lenders in the following reporting period (in respect of loans which have been drawn down). This column shall not include the balance of overdue debts stated in column 8.

With respect to Part II (Form No.E22): Foreign borrowings by enterprises

Commercial banks shall monitor and submit to the State Bank a consolidated report on the items in the form in respect of borrowings by enterprises (other than commercial banks) without any guarantee by commercial banks. Commercial banks only provide payment service or money transfer service(including borrowings guaranteed by the State Bank). Borrowings by enterprises without guarantee by commercial banks shall include direct loans, collection of accepted drafts....

FORM No. E23 "DETAILED REPORT ON THE PERFORMANCE OF LONG AND MEDIUM TERM BORROWINGS WITHOUT GUARANTEE BY COMMERCIAL BANKS"

-  Reporting entities: enterprises shall submit directly to the Foreign Exchange Control Department of the State Bank reports on foreign borrowings without guarantee by commercial banks; commercial banks shall submit a report on its foreign borrowings (with or without guarantees by other commercial banks).

- Reporting period: quarterly reports.

Column 1:

-  Loan code is the code of each loan notified by the State Bank to the reporting entity.

-  Tranche shall only apply to loans consisting of sub-loans with different schedules of disbursement or repayment, currencies or interest rates. Loans divided into tranches may be a General Credit Agreement, in which each individual loan shall be considered as a tranche or certain other foreign loan agreements. In this case, the reporting entity must report each specific transaction of such loans.

-  Transaction currency: the currency used in each disbursement or payment (of principal, interest or fees) to foreign lenders in the reporting quarter shall be stated. For this item, the date of transaction shall be recorded in column 4 and the relevant amounts shall be recorded in columns 5, 6, 7 and 8.

Column 2 (Opening balance): the funds drawn down pending repayment to foreign lenders at the beginning of the reporting period.

Column 3 (Opening balance of overdue debts): the due debts not yet repaid to foreign lenders at the beginning of the reporting period.

Column 4 (Date of transaction): the date at which the funds drawn down or payment of principal, interest or fees is made in the reporting period. The date of occurring transactions in columns 5, 6, 7 or 8 shall be recorded in this column.

Column 5 (Funds drawn down): Funds drawn down by the bank in the reporting period.

Columns 6, 7, 8: the repayment of principal, payments of interest or fees to foreign lenders respectively in the reporting period.

Column 9 (Increased overdue debts): the increased overdue debts in the accounting period (only including the increased overdue debt without setting off against the decreased overdue debts).

Column 10 or 11: similar to column 2 or 3 respectively, the specific calculation is provided as follows:

Column 10 = column 2 + column 5 - column 6.

Column 11 = column 3 + column 9 - (the decreased overdue debts).

III. GENERAL PROVISIONS ON REPORT PREPARATION AND SUBMISSION

1. In the case of Report Forms No. E20 and E22: reporting entities must report exactly in accordance with loan codes. The State Bank shall notify borrowing enterprises and guaranteeing banks of loan codes after these reports have been issued.

2. Reports shall be submitted as follows:

a. In the case of monthly reports of commercial banks in Form No.E20 and Form No.E22:

-  In the immediate future, pending the transmission of reporting items through computer networks by the State Bank, on a monthly basis, no later than the tenth day of the following month, commercial banks (including their main transaction offices and branches) shall submit written reports as follows:

Head offices of commercial banks shall consolidate reporting data of reports of their system and submit to the Foreign Exchange Control Department of the State Bank, Head - office. The main transaction offices and branches of commercial banks shall submit reports to the State Bank branches in provinces and cities for use in their localities.

-  When the Informatics Centre of the State Bank of Vietnam is able to transmit reporting data through computer networks; the submission of those data shall be made as follows:

Every month, no later than the tenth day of the following month, Head offices of commercial banks shall consolidate data of their whole system and have them transmitted to the informatics section of the respective State Bank branches in provinces and cities (in the case of four State owned commercial banks, the data of their whole system shall be transmitted directly to the Informatics Centre of the State Bank of Vietnam). By the 11th day, informatics sections of the State Bank branches in provinces and cities shall transmit the data of the whole system of each commercial bank to the Informatics Centre of the State Bank of Vietnam. By the twelfth day, the Informatics Centre of the State Bank of Vietnam shall transmit the data of the whole system of each commercial bank to the Foreign Exchange Control Department, (the Informatics Centre of the State Bank of Vietnam shall transmit the data of four State owned commercial banks to the Foreign Exchange Control Department by the eleventh day). The State Bank branches in provinces and cities shall collect data of branches and transaction offices of commercial banks in their respective localities for monitoring, management and use in their locality and report to the Foreign Exchange Control Department of the State Bank of Vietnam upon request.

b. In the case of quarterly report of enterprises (including commercial banks) in Forms No. E21 and E23: no later than the tenth day of the following quarter, reporting entities shall directly submit written reports to the Foreign Exchange Control Department; Enterprises (including transaction offices and branches of commercial banks) shall submit reports to the respective State Bank branches in provinces and cities for data consolidation in the whole locality for use in the locality and report to the Foreign Exchange Control Department of the State Bank of Vietnam upon request.

3. Conversion of balances and exchange rates between currencies:

The opening balance of a monthly (or quarterly) reporting period must be equal to the closing balance of the previous monthly (or quarterly) reporting period. For the transactions (draw down or repayment) in different currencies, currencies shall be uniformly converted into US dollar at the official exchange rate published by the State Bank on the last day of the reporting period.

4. Calculation Unit: all data in reports shall uniformly use the unit of 1,000 (rounded, the decimal part shall not be included). Monthly reports shall be converted to USD 1,000 units; quarterly reports shall use the unit of 1,000 of the transaction currency.

5. Scope of reports: In the case of Form No.E20 and Form No.E22, the commercial bank must submit reports as stipulated, even if there is no transaction taking place in the reporting period. In the case of Form No.E21, commercial banks must submit a detailed report on each guarantee, including those where no transaction has taken place in the in the reporting period. In the case of Form No. E23, if no data arises in the reporting quarter, the reporting entity shall only be required to submit a written notice specifying "For Quarter… Loan… (Code) of enterprises (or bank) X, no arising data).

6. Date of application of new reporting forms:

-  In respect of monthly reports (in Form No.E20 or E22), commercial banks shall commence the submission of reports on data arising from October 1998.

-  In respect of quarterly reports (in Forms No.E21 or E23), enterprises and commercial banks shall commence the submission of reports on data arising from the fourth quarter of 1998.
