MINISTER OF MINISTRY OF PLANNING AND INVESTMENT
Pursuant to investment law issued dated 29 November 2005;
Pursuant to resolution No. 78/2006/ND-CP dated 09 August 2006 of the Government about the regulations regarding offshore investment;
Pursuant to resolution no. 61/2003/ND-CP dated 06 June 2003of government about the regulation of function, duty, authority of ministry of planning and investment;
According to the proposal of head of legal department and head of offshore investment department,
DECISION
Article 1. Issuing enclosed with this decision forms of documents about offshore investment procedures.
Article 2. Forms of documents about offshore investment procedures are applied nationwide.
Offshore investment certificate is printed in A4, having pattern issued by ministry of planning and investment.
Article 3. This decision is valid in 15 days since the date it is published on official gazette.
Article 4. Ministries, organizations at ministerial level, bodies belonging to government, people’s committees of provinces and cities under administration of state and Project management boards of industrial zones, processing zones, high-tech zones, and economic zones are responsible to execute this decision.

[18] In the case of adjustment to the investment certificate/investment license, specifying single contents to be adjusted, filling the contents written in the investment certificate/investment license and the contents to be adjusted, giving reasons and related documents (if any).
In the case of projects under verification, the explanation is not required. The explanation shall be given in an explanation document of adjustment to the investment certificate/investment license.
In the case of adjustment to offshore investment capital:
The explanation shall be made into 2 (two) separate tables of the contributed capital of investors – as per item [09], 1 (one) table of the project before adjustment and 1 (one) table of the project after adjustment, so as to show the change of capital clearly, the amount of contributed capital of each investor, method and value of contributed capital.
Explanation about legality of usage of the increased capital:
- In the case of project using state capital for investment offshore: the appropriateness with regulations on the management and usage of state capital, investors commit themselves for the legality of the source of investment capital offshore.
- In the case of projects using other sources of capital: investors commit themselves for the legality of the source of investment capital offshore.

[21] –In the case of enterprise using state capital for investment/reinvestment offshore, an approval document issued by authority body shall be required.
In the case of without this document, legal bases, provisions, related documents and commitment of responsibility for decision on the usage of the state capital for investment offshore by enterprises shall be required.
